Udemy, Coursera Announce $2.5 Billion Merger; Canaccord Genuity Downgrades UDMY
Udemy (NASDAQ:UDMY) and Coursera have announced a merger valued at $2.5 billion, aiming to enhance their offerings in the online learning market. This development coincides with Canaccord Genuity's downgrade of Udemy from Buy to Hold on December 17, 2025.
The all-stock transaction is expected to generate over $1.5 billion in pro forma annual revenue. Coursera anticipates achieving $115 million in annual cost synergies within two years following the merger. The completion of this strategic move is projected for the second half of next year, pending regulatory and shareholder approval.
On December 17, 2025, Canaccord Genuity set a price target of $7 for Udemy, suggesting an 11.38% potential increase from its stock price of $6.28 at that time. Despite the downgrade, Udemy's stock surged by 21.7% to approximately $6.50 following the merger announcement. Coursera's stock also rose by 3.6% to around $8.
Udemy's stock currently trades at $6.25, marking a 16.39% increase. The stock's range for the day has been from $6.05 to $7.40, with a market capitalization of approximately $928 million. Trading volume on NASDAQ reached 24,489,825 shares, indicating strong investor interest. The merger seeks to address market challenges by leveraging Coursera's partnerships and Udemy's course marketplace.
